Terms of Service

By accessing or using any Bio Ecko software product or service, you agree to be bound by these Terms of Service. If you do not agree, you must not use the service.

These Terms form a legally binding agreement between you (the "Facility" or "User") and Bio Ecko Healthcare LLP ("Bio Ecko", "we", "us"). If you are accepting on behalf of an organisation, you represent that you have the authority to do so.

We may update these Terms from time to time. Continued use of the service after notice of changes constitutes acceptance of the updated Terms.

Bio Ecko provides cloud-based hospital and clinic management software including ERP modules, EMR functionality, AI-assisted clinical tools, and related services accessible via web browser or API.

Service availability, features, and module offerings may change over time. We will provide reasonable notice of material changes that affect your current usage.

Bio Ecko targets 99.9% uptime for core services. Scheduled maintenance will be communicated in advance where possible. We are not liable for downtime beyond our control (force majeure, internet infrastructure failures, etc.).

You are responsible for all activity that occurs under your account. You must keep your login credentials secure and must not share them with unauthorised individuals.

You must notify Bio Ecko immediately at hello@bioecko.com if you suspect any unauthorised access to your account.

Admin accounts have elevated permissions and responsibilities. Administrators are responsible for managing user roles, access levels, and ensuring staff use the platform appropriately within their facility.

You must provide accurate and complete registration information and keep it up to date.

You may use Bio Ecko for lawful healthcare facility management operations. You must not:

• Reverse engineer, decompile, or disassemble any part of the software
• Resell or sublicense access to the platform without written permission from Bio Ecko
• Store data unrelated to your facility's own patient population
• Use the platform for any unlawful, fraudulent, or harmful purpose
• Attempt to gain unauthorised access to Bio Ecko's systems or other users' accounts
• Introduce malware, viruses, or any code that could disrupt the platform
• Scrape or bulk-export data in ways not supported by the official export features

Violation of acceptable use policies may result in immediate suspension of your account without refund.

Bio Ecko is offered on a subscription basis. Pricing is agreed upon at the time of onboarding and reflected in your service agreement. Invoices are issued monthly or annually as per your plan.

Payment is due within 15 days of invoice date. Late payments may result in service suspension. Reactivation fees may apply after suspension for non-payment.

All amounts are in Indian Rupees (INR) unless otherwise specified. GST is applicable at the prevailing rate under Indian tax law and will be shown separately on all invoices.

Pricing is subject to change with 30 days' notice. Existing subscriptions will not be affected within their current billing period.

You retain full ownership of all data you input into Bio Ecko — including patient records, clinical notes, billing data, and facility information.

By using the platform, you grant Bio Ecko a limited, non-exclusive licence to process your data solely for the purpose of providing and improving the service. We do not claim any ownership over your data.

On termination of your subscription, you may export your data within 30 days. After this period, data will be deleted in accordance with our retention policy. Bio Ecko will not be liable for data loss after the export window closes.

Bio Ecko software, platform design, documentation, and all associated intellectual property are owned by Bio Ecko Healthcare LLP or its licensors. All rights are reserved.

Your subscription grants you a limited, non-transferable licence to use the software for your facility's internal operations. This is a licence, not a transfer of ownership.

You may not copy, modify, distribute, sell, or create derivative works based on Bio Ecko software without express written permission from Bio Ecko Healthcare LLP.

To the maximum extent permitted by applicable Indian law, Bio Ecko's total liability to you for any claim arising from these Terms or your use of the service is limited to the fees you paid in the 12 months immediately preceding the claim.

Bio Ecko is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, data, or goodwill, arising from your use of or inability to use the service.

Bio Ecko does not provide medical advice. Clinical decisions remain the sole responsibility of qualified healthcare professionals. AI-assisted features are decision-support tools only and do not replace clinical judgment.

Either party may terminate the subscription with 30 days' written notice. Bio Ecko may terminate immediately and without notice in the event of material breach of these Terms, including misuse of patient data or non-payment.

Upon termination, your access to the platform will cease. A data export window of 30 days will be provided, after which your data will be permanently deleted.

Clauses relating to intellectual property, limitation of liability, and governing law survive termination of these Terms.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be resolved by binding arbitration in Ranchi, Jharkhand, in accordance with the Arbitration and Conciliation Act, 1996.

The courts of Ranchi, Jharkhand shall have exclusive jurisdiction for any matters not subject to arbitration.
